Welcome to Stanislav Sychevskyi's website! These terms and conditions ("Terms") govern your use of our web design and development services ("Services") provided by Stan Sychevskyi ("Freelancer," "we," or "us"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, please refrain from using our Services.

1. Service Agreement

1.1 Freelancer agrees to provide web design and development services to clients ("Clients") on a freelance basis.

1.2 Clients agree to provide all necessary information, materials, and approvals required for the completion of the project.

1.3 Freelancer reserves the right to decline any project request at their discretion.

2. Fees and Payment

2.1 Clients agree to pay Freelancer the agreed-upon fees for the Services rendered.

2.2 Payment terms and schedule will be outlined in the project proposal or invoice.

2.3 Any additional expenses incurred during the project will be discussed with the Client and billed accordingly.

2.4 Late payments may be subject to additional charges or project suspension until payment is received.

3. Intellectual Property

3.1 Clients retain all rights to their pre-existing intellectual property.

3.2 Freelancer retains the intellectual property rights to any original work created during the course of the project until full payment is received.

3.3 Upon receipt of full payment, Freelancer grants the Client a non-exclusive, worldwide license to use the final deliverables for the intended purpose.

4. Project Timeline and Revisions

4.1 Both Freelancer and the Client agree to adhere to the agreed-upon project timeline.

4.2 Clients have the opportunity to request revisions during the project, subject to the scope of work and limitations outlined in the project proposal.4.3 Additional revisions beyond the agreed scope may be subject to additional charges.

5. Confidentiality

5.1 Both parties agree to keep confidential any information disclosed during the project that is not publicly available.5.2 Confidential information includes, but is not limited to, business strategies, financial information, and trade secrets.

6. Limitation of Liability

6.1 Freelancer shall not be held liable for any direct, indirect, incidental, consequential, or special damages arising from the use or inability to use our Services.6.2 Freelancer shall not be held liable for any damages resulting from the use of third-party tools, plugins, or software recommended or integrated into the project.

7. Termination

7.1 Either party may terminate the project or Services with written notice.

7.2 Termination fees may apply, depending on the project status and expenses incurred.

8. Governing Law and Jurisdiction

8.1 These Terms shall be governed by and construed in accordance with the laws of Canada, Ontario.

8.2 Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Ontario, Canada.

9. Amendments

9.1 Freelancer reserves the right to modify these Terms at any time. Updated Terms will be posted on our website.9.2 Continued use of our Services after the modification constitutes acceptance of the updated Terms.

10. Severability

10.1 If any provision of these Terms is deemed invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

10.2 In such cases, the invalid or unenforceable provision shall be modified or interpreted to the extent necessary to make it valid and enforceable while preserving its intended purpose to the maximum extent permitted by law.
